This terms of service agreement (the "Agreement") is a legally binding contract between NVRT Labs, Inc. ("NVRT Labs," "we," "us," or "our") and you ("you," "your," or "user"), whether you are a student utilizing VR headsets provided by NVRT Labs as part of your academic curriculum ("CBET Student") or an individual or organization subscribing to our platform for training purposes ("Enterprise User"). The Agreement pertains to your use of our services, including but not limited to access to our content library, VR headsets provided by NVRT Labs, and our website and web dashboard (collectively, the "Services").
By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use our Services.
Access to Content Library
NVRT Labs provides users with access to a content library that is owned by NVRT Labs. Your access to the content library is subject to the following conditions:
- a. Content Library Usage: Users, whether CBET Students or Enterprise Users, may not share or distribute the content library or any portion of it to any third party without our prior written consent
- b. Content Library Updates: NVRT Labs reserves the right to modify, update, or remove any content from the content library at any time, without prior notice.
VR Headsets
NVRT Labs may provide VR headsets for your use in connection with the Services. Your use of the VR headsets is subject to the following conditions:
- a. Damage Responsibility: You are responsible for any damage to the VR headsets that occurs during your use and may be required to cover the costs of necessary repairs or replacements.
- b. Ownership and Modification: If you own the VR headset, you have the right to use it according to your preferences. However, for leased VR headsets from NVRT Labs, users are prohibited from modifying, disassembling, or reverse engineering the device. NVRT Labs holds no responsibility for any damage resulting from user modifications. Such alterations may impact your ability to access the platform or utilize the hardware with our content.
- c. Hardware Responsibility: Whether you own or lease the device, users are responsible for the proper handling of the hardware. Any alterations made to the device's hardware, regardless of ownership, are undertaken at the user's risk. NVRT Labs cannot be held liable for issues arising from user-induced modifications to the hardware.
Website and Web Dashboard
NVRT Labs also provides a website and web dashboard as part of the Services. Your use of the website and web dashboard is subject to the following conditions:
- a. Legal Compliance: All users must comply with all applicable laws and regulations when using the website and web dashboard.
- b. Platform Changes: NVRT Labs reserves the right to modify, update, or remove any part of the website or web dashboard at any time, without prior notice.
- c. Unauthorized Use: Users may not use the website or web dashboard for any illegal or unauthorized purpose, or in any way that violates this Agreement.
Ownership and Intellectual Property
NVRT Labs retains ownership of all intellectual property rights in the Services, including but not limited to the content library, VR headsets, website, and web dashboard. Users may not use any of our intellectual property without our prior written consent.
Safety and Proper Use of VR Equipment
- a. User Acknowledgment: Users acknowledge that virtual reality (VR) experiences may induce dizziness or motion sickness. If discomfort arises, users should immediately discontinue use and seek medical advice if needed.
- b. Environmental Responsibility: Users are responsible for ensuring a clear and obstacle-free environment during VR use to prevent tripping hazards.
- c. Seating Recommendation: It is advised that users, especially those using joystick controls, consider sitting down during VR sessions.
- d. Health Precautions: Users with pre-existing medical conditions should consult with a healthcare professional before using VR equipment.
- e. Break Recommendations: Prolonged use without breaks is not recommended. Users should take regular breaks to prevent discomfort.
- f. Guidelines Adherence: Users must follow all guidelines and warnings provided by NVRT Labs regarding the use, maintenance, and care of VR equipment.
- g. Health-Related Limitations: If users are unable to utilize VR experiences due to health issues or motion sickness, it is their responsibility to inform their instructor (for CBET Students) or designated personnel (for Enterprise Users). In such cases, users are encouraged to utilize alternative assignments or training methods as provided by NVRT Labs.
- h. Liability Disclaimer: NVRT Labs is not liable for injuries, health issues, or damages resulting from failure to adhere to safety guidelines or improper use of VR equipment.
Device Replacement
- a. Reporting Non-functional Devices: In the event of a non-functional VR device provided by NVRT Labs, users must promptly contact NVRT Labs Support at support@nvrtlabs.com for assistance.
- b. Troubleshooting Assistance: NVRT Labs Support will provide users with guidance through troubleshooting procedures for devices provided by NVRT Labs. If the device remains non-functional, users will be instructed on the next steps, including the possibility of returning the NVRT Labs-supplied device.
- c. Manufacturer Defects: NVRT Labs will assess the NVRT Labs-supplied device, and if the malfunction is determined to be caused by a manufacturing defect, we will repair or replace it at no cost to the user.
- d. User-Induced Malfunction: If NVRT Labs determines that user damage or misuse caused the malfunction of an NVRT Labs-supplied device, the user will be held responsible for all associated costs, including a replacement fee to be determined by NVRT Labs.
- e. Packaging and Shipping: Users are responsible for securely packaging and shipping NVRT Labs-supplied devices to NVRT Labs according to the provided instructions.
- f. Replacement Fee: The replacement fee, covering the cost of repairing or replacing NVRT Labs-supplied VR devices, will be determined by NVRT Labs and communicated to the user. This fee is exclusive of additional shipping or handling fees.
- g. User-Supplied Devices: For VR devices supplied by the user, users are responsible for the repair or replacement costs, and NVRT Labs is not liable for any issues arising from user-induced modifications or damage to these devices.
- h. Prompt Support Contact: Users are encouraged to promptly contact NVRT Labs Support for any issues related to NVRT Labs-supplied devices, ensuring timely assistance and resolution.
User Conduct and Community Guidelines
- a. Guidline Adherence: Users, whether CBET Students or Enterprise, must adhere to community guidelines and codes of conduct outlined by NVRT Labs.
- b. Prohibited Behavior: Any form of harassment, discrimination, or inappropriate behavior within VR experiences or related platforms is strictly prohibited.
User Account Security
- a. Account Confidentiality: Users are responsible for maintaining the security and confidentiality of their accounts and passwords.
- b. Unauthorized Access: NVRT Labs is not liable for any unauthorized access to user accounts.
Feedback and Suggestions
- a. User Input: Users are encouraged to provide feedback and suggestions to improve the Services.
- b. Implementation Disclaimer: NVRT Labs may use user feedback to enhance the platform but is not obligated to implement specific suggestions.
Third-Party Links and Content
- a. Third-Party Disclaimer: NVRT Labs is not responsible for the content of third-party websites or links provided within the Services.
- b. User Caution: Users navigate third-party content at their own risk.
Data Security and Privacy
- Privacy Compliance: NVRT Labs adheres to a strict privacy policy. Users should review and understand the privacy policy regarding the collection and use of their data.
Use of User Data for Analytics
- Analytics Purpose: NVRT Labs may use anonymized user data for analytics purposes to enhance and improve the Services.
Service Interruptions
- NVRT Labs Right: NVRT Labs reserves the right to interrupt, suspend, or discontinue the Services for maintenance, updates, or other reasons.
Accessibility
Accessibility Commitment: NVRT Labs aims to make the Services accessible to users with disabilities. Users with accessibility concerns should contact support for assistance.
Governing Law and Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the state of Texas, and you submit to the non-exclusive jurisdiction of the state and federal courts located in the United States of America for the resolution of any disputes.
Variation of Terms
NVRT Labs, INC. is permitted to revise these Terms at any time as it sees fit, and by using our Services, you are expected to review these Terms on a regular basis.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. NVRT LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL NVRT LABS, NOR ANY OF ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANYTHING ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OUR SERVICES. NVRT LABS, INCLUDING ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE HELD LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER OR NOT NVRT LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
